General terms

These Terms of Service govern access to and use of legal consulting and related services provided by DevHubLegal through DevHubLegal.pro. By engaging with our services you accept these terms in addition to any separate written engagement agreement. Where a written engagement agreement exists, its terms govern the scope, fees and deliverables specific to that engagement.

Eligibility

Our services are offered to businesses, organizations and individuals who can lawfully enter into agreements in the jurisdictions where they operate. By using DevHubLegal services you represent that you are authorized to engage us on behalf of the relevant organization or are acting in your own capacity where permitted.

Clients and account holders must be of legal age to form binding contracts in their jurisdiction or must act through a duly authorized representative. If you are uncertain about eligibility, contact us before engaging services.

Services must be used for lawful purposes. You must not use DevHubLegal services to facilitate illegal activity, infringe the rights of others, or evade applicable laws and regulations.

Availability of specific services may be limited by local law. DevHubLegal primarily serves clients in Malaysia and may decline or impose conditions on engagements involving jurisdictions where compliance would be impractical or unlawful.

Account and access

To access certain services or client portals you may need to create an account and provide accurate contact and business information. Account use is subject to these Terms and any additional instructions provided by DevHubLegal.

You agree to provide current, complete and accurate information when registering and to update it as necessary. DevHubLegal is not responsible for losses resulting from inaccurate account information provided by you.

Keep login credentials secure. You are responsible for all activity that occurs under your account. Notify DevHubLegal promptly if you suspect unauthorized use of your account.

Accounts and subscriptions are personal and non-transferable unless agreed in writing by DevHubLegal. Transferring access or credentials is prohibited without prior written consent.

If you suspect your account has been compromised, notify DevHubLegal immediately at DevHubLegal, Jalan USJ 9/5T, Subang Bussiness Centre, 47620 Subang Jaya, Selangor, Malaysia or by calling +60120949165 so we can take steps to secure the account.

DevHubLegal may suspend or restrict account access where we reasonably suspect a breach of these Terms, unlawful activity, or threats to service integrity. We will seek to notify affected users unless notification would impede contribute or legal compliance.

Services provided

DevHubLegal provides legal consulting focused on contract drafting and review, compliance advice, commercial agreements, intellectual property strategy and dispute preparedness specific to software and development businesses. Service scope is defined in engagement letters or proposals.

Service descriptions may be updated and new offerings introduced. Any change to the scope of an active engagement will be set out in a written amendment or a new engagement agreement signed by both parties.

Advisory services are provided during agreed hours and subject to availability of qualified personnel. Where deadlines are critical, clients should confirm timelines in writing within the engagement agreement.

User conduct rules

When interacting with DevHubLegal platforms and representatives, users must comply with these conduct rules to ensure professional and lawful use.

  • Do not attempt unauthorized access to systems, data or accounts.
  • Do not submit fraudulent, false or misleading information during intake or engagement.
  • Do not use content provided by DevHubLegal for unlawful activities or to infringe third-party rights.
  • Do not interfere with the operation or security of DevHubLegal systems or communications.
  • Refrain from harassment, threats or abusive communications toward DevHubLegal staff or representatives.
  • Comply with applicable export controls and sanctions when sharing technical information or software code with us.
  • Follow reasonable instructions from DevHubLegal on document handling, confidentiality and data protection.

User content

Clients may provide documents, source code excerpts, data and other materials necessary for legal advice. Such materials are 'User Content' for the purposes of these Terms.

You retain ownership of your User Content. By providing materials to DevHubLegal you represent that you have the necessary rights to share those materials and that sharing them with us does not violate third-party rights.

You grant DevHubLegal a non-exclusive, revocable license to use, reproduce and store User Content solely to provide the requested services and maintain records, and to the extent required by law or professional obligations.

You are responsible for the accuracy and completeness of User Content. DevHubLegal will rely on the information you provide; incomplete or incorrect materials may affect advice or outcomes.

Upon termination of an engagement and subject to record-retention obligations, DevHubLegal will return or securely delete User Content as agreed in the engagement documents.

Intellectual property

DevHubLegal and its licensors own intellectual property in materials, templates, methodologies and deliverables created independently of Client-provided materials. Licensing of such materials is described in engagement agreements.

  • You may not reproduce, distribute or create derivative works from DevHubLegal proprietary templates or materials without written permission.
  • You may not remove or alter copyright and proprietary notices on materials provided by DevHubLegal.
  • Where customized deliverables are produced, ownership and permitted uses will be set out in the engagement agreement.

Paid services and fees

Fees for legal consulting, drafting and advisory services are set out in engagement letters, proposals or invoices. Fees may be fixed, hourly or milestone-based depending on the agreed scope.

Pricing reflects the scope of work, complexity and personnel involved. Estimates or quotes are not final until confirmed in a signed engagement letter which will also identify payment terms.

Invoices are payable according to terms specified in the engagement agreement. Accepted payment methods will be described on invoices. Late payments may incur interest or collection costs as permitted by law.

Recurring or subscription services require an agreement specifying billing cycles and termination rights. Subscriptions continue until cancelled in accordance with the engagement terms.

Refunds or credits are considered in exceptional circumstances and in accordance with the terms of the engagement and applicable consumer protection laws. Decisions on refunds are made on a case-by-case basis.

Either party may terminate services as specified in the engagement agreement. Termination provisions will address notice periods, outstanding fees and handling of work in progress.

Clients are responsible for applicable taxes, duties or levies arising from the provision of services. DevHubLegal will itemize taxes on invoices where required by law.

DevHubLegal may revise service fees for new engagements and will provide notice of material price changes. Existing engagements are governed by the fees set out in the applicable engagement documents.

Persistent non-payment may result in suspension of services, retention of deliverables and pursuit of recovery remedies. DevHubLegal may withhold work product until accounts are brought current.

Disclaimer

Information provided by DevHubLegal is for general guidance on legal issues relevant to software and development businesses. It does not constitute a substitute for tailored legal advice. A solicitor-client or professional relationship is established only after a signed engagement agreement is in place and any required retainer is received.

Limitation of liability

To the extent permitted by applicable law, DevHubLegal's liability for direct damages arising from services is limited to fees paid for the specific engagement during which the claim arose. DevHubLegal is not liable for indirect, consequential or punitive damages except where required by law.

Third-party services and referrals

DevHubLegal may recommend third-party providers for specialist matters. Such referrals do not constitute endorsement and DevHubLegal is not responsible for the services or products provided by third parties. Clients should review third-party terms and privacy policies directly.

Termination of services

An engagement may be terminated as set out in the engagement agreement, by mutual written consent, or for cause where a party materially breaches the terms and fails to remedy within any specified cure period.

Upon termination, outstanding fees and reimbursable costs will become payable. DevHubLegal may retain copies of records to comply with professional or legal obligations and will return or dispose of Client materials as agreed.

Privacy and data protection

DevHubLegal processes personal data in accordance with its Privacy Policy. The Privacy Policy explains what data is collected, legal bases for processing, retention practices and rights available to data subjects.

Communications

By engaging DevHubLegal you consent to receive written communications electronically, including email for operational messages, invoices and client engagement materials. For urgent matters contact us by phone or the address provided.

Changes to these terms

DevHubLegal may update these Terms to reflect changes in law or business practices. Material changes will be communicated to existing clients in writing. Continued use of services after changes implies acceptance of the updated Terms.

Governing law

These Terms and any engagement agreements are governed by the laws of Malaysia. Where parties have agreed otherwise in writing, a different jurisdiction may apply as specified in that agreement.

Dispute resolution

Parties should first seek to resolve disputes through good-faith negotiation. If unresolved, disputes may proceed to mediation or arbitration in Malaysia, or to courts in Malaysia if required by applicable procedural rules and the engagement agreement.
